- 4Read the breakdown. You get the all-in total split into stamp duty, digital signatures and professional fee.
LLP registration fees and cost in India
LLP registration fees are low compared with most business structures. The Ministry of Corporate Affairs (MCA) charges ₹500 to ₹5,000 to incorporate an LLP, depending on the total contribution, plus a small filing fee for the LLP agreement. Most of what you actually spend sits outside the government fee: stamp duty on the LLP agreement, digital signatures and whoever files the forms for you.
The table below shows what the MCA charges. It is the government fee only, so it is the part that does not change between filing services.
| Total contribution | FiLLiP incorporation fee | Form 3 filing fee (LLP agreement) | Both together |
|---|---|---|---|
| Up to ₹1 lakh | ₹500 | ₹50 | ₹550 |
| Above ₹1 lakh, up to ₹5 lakh | ₹2,000 | ₹100 | ₹2,100 |
| Above ₹5 lakh, up to ₹10 lakh | ₹4,000 | ₹150 | ₹4,150 |
| Above ₹10 lakh, up to ₹25 lakh | ₹5,000 | ₹200 | ₹5,200 |
| Above ₹25 lakh | Higher slabs apply — check the current MCA schedule | Higher slabs apply — check the current MCA schedule | Varies |
Government fees come from Annexure A of the LLP Rules, 2009. The MCA portal shows the exact amount payable before you pay, so check it there before filing.
LLP registration govt fees, explained
- FiLLiP incorporation fee
- FiLLiP is the single form used to incorporate an LLP, including the name application and the first designated partners' DIN. The fee depends only on your total contribution, not on the number of partners.
- Form 3 filing fee
- The LLP agreement is filed on Form 3 within 30 days of incorporation. The filing fee follows the same contribution slabs, from ₹50 up to ₹200 for contributions up to ₹25 lakh.
- Name reservation (RUN-LLP)
- You can reserve a name separately through RUN-LLP for ₹200. Many founders skip this and propose the name inside FiLLiP instead, which saves the separate fee but means a rejected name sends you back mid-form.
- DPIN
- A Designated Partner Identification Number is applied for inside FiLLiP for the first designated partners. A separate DPIN application costs ₹100.
- Raising your contribution later
- If you later increase the contribution into a higher slab, you pay the difference between the new slab's fee and the one you already paid, through Form 3.
What the total LLP registration cost is made of
| Item | Amount | How sure is it? |
|---|---|---|
| FiLLiP incorporation fee | ₹500 to ₹5,000 (up to ₹25 lakh contribution) | Official, LLP Rules Annexure A |
| Form 3 filing fee | ₹50 to ₹200 (up to ₹25 lakh contribution) | Official, LLP Rules Annexure A |
| Name reservation (RUN-LLP), if done separately | ₹200 | Official, LLP Rules Annexure A |
| Stamp duty on the LLP agreement | Varies by state and contribution | Not fixed nationally; check your state |
| Digital signature per designated partner | Roughly ₹1,500 each | Typical market price |
| Professional or CA fee | Varies; the calculator assumes ₹8,000 until you edit it | Typical; get a written quote |
| Drafting and notarising the agreement | Varies | Only if you use a lawyer |
Two partners, ₹1 lakh total contribution. The fixed, sourced and typical parts:
- FiLLiP fee (up to ₹1 lakh)
- ₹500
- Form 3 filing fee (up to ₹1 lakh)
- ₹50
- Two digital signatures at about ₹1,500
- ₹3,000
Fixed parts = ₹3,550. Add your state's stamp duty on the LLP agreement and your CA's fee to get the full cost; the calculator does this for you.
LLP registration process, step by step
- Get a Digital Signature Certificate for each designated partner. The MCA portal needs it to sign the form.
- Choose a name. Check that it is not too close to an existing company or LLP, and either reserve it through RUN-LLP or propose it inside FiLLiP.
- Fill FiLLiP: registered office address, partners and designated partners, and each partner's contribution. The form also applies for the PAN and TAN of the LLP.
- Pay the government fee for your contribution slab. The portal shows the amount before you pay.
- Receive the Certificate of Incorporation with the LLPIN, normally within a few working days if nothing is rejected.
- Sign the LLP agreement on stamp paper of your state's value, then file Form 3 within 30 days of incorporation.
- Open a bank account in the LLP's name and register for GST if your business needs it.
The whole process commonly takes a few working days to about two weeks. The slow steps are name approval and fixing mismatched documents, not the payment.
Who can form an LLP, and what documents you need
- At least two partners, each an individual or a company. There is no upper limit on partners.
- At least two designated partners who are individuals; at least one must be resident in India (present for 120 days or more in the previous year).
- No minimum contribution, so a small amount is allowed.
Documents for each partner
- PAN card (passport for foreign nationals) and one photo identity proof.
- Address proof, such as a bank statement or utility bill.
- Email address and mobile number.
Documents for the registered office
- A recent utility bill (electricity, water, gas or landline) for the premises.
- A rent agreement and a no-objection letter from the owner if the space is rented, or a property document if the LLP owns it.
After registration: yearly LLP filings and late fees
Registering is a one-time cost. Every LLP then files two forms each year, whether or not it did any business. The normal filing fee for each form follows the same contribution slabs as above.
| Form | What it is | Due date | If you file late |
|---|---|---|---|
| Form 3 | LLP agreement (and later changes) | Within 30 days of incorporation | An additional fee for the delay; check the amount on the portal |
| Form 11 | Annual return | 30 May | Additional fee as a multiple of the normal fee, rising with delay |
| Form 8 | Statement of account and solvency | 30 October | Additional fee as a multiple of the normal fee, rising with delay |
Since 1 April 2022 the late fee on Form 11 and Form 8 is a multiple of the normal fee, not ₹100 a day, and a small LLP (contribution up to ₹25 lakh and turnover up to ₹40 lakh) pays a lower multiple. Our LLP late fee calculator shows the exact amount. An LLP whose contribution is above ₹25 lakh or turnover above ₹40 lakh must also have its accounts audited, which is a cost the setup fee does not cover.
LLP vs Private Limited vs OPC: which costs less?
| LLP | Private Limited | OPC | |
|---|---|---|---|
| MCA incorporation fee | ₹500 to ₹5,000 by contribution (up to ₹25 lakh), plus Form 3 fee of ₹50 to ₹200 | Nil up to ₹15 lakh authorised capital | Nil up to ₹15 lakh authorised capital |
| Name reservation | ₹200 if reserved separately through RUN-LLP | Typically ₹1,000 through SPICe+ Part A (confirm on the form) | Typically ₹1,000 through SPICe+ Part A (confirm on the form) |
| Stamp duty | On the LLP agreement; varies by state and contribution | On the MoA and AoA; varies by state and capital | On the MoA and AoA; varies by state and capital |
| Minimum people | 2 partners, 2 designated partners | 2 directors, 2 shareholders | 1 director, 1 member, plus a nominee |
| Yearly MCA filings | Form 11 and Form 8 | AOC-4 and MGT-7 | AOC-4 and MGT-7A |
| Late fee on yearly filings | A multiple of the normal filing fee, rising with delay; lower for a small LLP | ₹100 per day per form, no upper limit | ₹100 per day per form, no upper limit |
| Raising equity from investors | Not usual; investors prefer companies | The standard route | Convert to Private Limited first |
An LLP pays a small government fee that a company under ₹15 lakh authorised capital does not, but its yearly compliance is lighter and there is no minimum capital. A Private Limited is the better fit if you will raise equity or issue ESOPs. An OPC is for a solo founder. Whichever you pick, state stamp duty is usually the biggest variable, so compare your own state.
Is an LLP the right structure?
A partnership with limited liability and lighter annual compliance — common for services firms not raising equity.
An LLP suits a services or consulting firm that wants limited liability and lighter annual compliance, and isn't planning to raise institutional equity — investors generally prefer to fund companies, not LLPs.
