OPC registration fees and cost in India
A One Person Company is one of the cheapest ways to incorporate in India. When it is registered through SPICe+ with authorised capital up to ₹15 lakh, the MCA charges no incorporation fee at all. That leaves four costs: state stamp duty, a digital signature for the director, the name reservation, and whoever files the forms for you.
| Authorised capital | MCA incorporation fee |
|---|---|
| Up to ₹15 lakh | Nil |
| Above ₹15 lakh | A slab-based fee under the Companies (Registration Offices and Fees) Rules, 2014; check the current MCA schedule |
State stamp duty is separate from the MCA fee and is the number that changes most. It is paid through the SPICe+ form for the state you choose as the registered office.
OPC registration govt fees: what you pay and where
- SPICe+ Part B (incorporation)
- The single form that incorporates the company and applies for its PAN and TAN. No MCA fee up to ₹15 lakh authorised capital.
- e-MoA and e-AoA (INC-33 and INC-34)
- The memorandum and articles are filed as part of the same process. The MCA fee is nil in that range; the stamp duty on them is set by your state.
- Name reservation (SPICe+ Part A)
- Typically ₹1,000, according to filing guides. Confirm the amount on the form; a rejected name may need a fresh application.
- Nominee consent (INC-3)
- Every OPC names a nominee, and the nominee's written consent is filed with the incorporation papers.

A solo founder registering an OPC in Odisha at ₹1 lakh authorised capital, using the calculator's defaults:

- ₹0
- Odisha stamp duty at ₹1 lakh
- ₹610
- One digital signature
- ₹1,500
- Professional fee (calculator default)
- ₹8,000
Total = ₹10,110. Name reservation is not in the calculator's total, so add it if your filing service charges it separately.
OPC registration process, step by step
- Get a Digital Signature Certificate for the director. The member and the director are often the same person.
- Choose a nominee, and get a signed consent from them. They step in if you die or become unable to act.
- Reserve the name in SPICe+ Part A. It must end with "(OPC) Private Limited" in the style the MCA expects.
- Fill SPICe+ Part B: registered office, director details, authorised and paid-up capital, and the e-MoA and e-AoA.
- Pay the stamp duty for your state; the MCA fee is nil up to ₹15 lakh authorised capital.
- Receive the Certificate of Incorporation with the company's CIN, and the PAN and TAN issued with it.
- Open a bank account, deposit the subscription money, and file Form INC-20A within 180 days of incorporation to declare that business has started.
Most OPCs are registered in a few working days to about two weeks. The delays are nearly always a rejected name or a nominee document that does not match the form.
Who can form a One Person Company, and what documents you need
- One member, who must be a natural person, an Indian citizen and resident in India (present at least 120 days in the previous year).
- Since 2021, non-resident Indians can also form an OPC under the same 120-day test.
- At least one director; the member can be that director.
- A nominee who consents in writing. A person cannot be the sole member of more than one OPC or the nominee of more than one.
- An OPC cannot be formed to carry on non-banking financial business.
- The old rule forcing an OPC to convert once it crossed a capital or turnover limit was removed in 2021, but check the current rules before you plan growth.
Documents to keep ready
- Director and nominee: PAN, identity proof, address proof, a photo, email and mobile number.
- Registered office: a utility bill, plus a rent agreement and owner's no-objection letter if the space is rented.
- Nominee's signed consent in the prescribed form.
After registration: yearly OPC filings and late fees
| Form | What it is | Timing | If you file late |
|---|---|---|---|
| INC-20A | Declaration that business has started | Within 180 days of incorporation | Penalties apply; file it early |
| AOC-4 | Financial statements | Within 180 days of the financial year-end (27 September for a 31 March year-end) | ₹100 per day, no upper limit |
| MGT-7A | Annual return | Check the MCA due-date calendar for your year | ₹100 per day, no upper limit |
An OPC does not hold annual general meetings, but it still files yearly returns, keeps books and gets an auditor appointed. Missing the yearly filings blocks other MCA filings until you clear them, so budget the CA's yearly fee along with the setup cost. Our MCA late fee calculator works out the late fee for AOC-4 and MGT-7A.
OPC vs Private Limited vs LLP: which costs less?
| LLP | Private Limited | OPC | |
|---|---|---|---|
| MCA incorporation fee | ₹500 to ₹5,000 by contribution (up to ₹25 lakh), plus Form 3 fee of ₹50 to ₹200 | Nil up to ₹15 lakh authorised capital | Nil up to ₹15 lakh authorised capital |
| Name reservation | ₹200 if reserved separately through RUN-LLP | Typically ₹1,000 through SPICe+ Part A (confirm on the form) | Typically ₹1,000 through SPICe+ Part A (confirm on the form) |
| Stamp duty | On the LLP agreement; varies by state and contribution | On the MoA and AoA; varies by state and capital | On the MoA and AoA; varies by state and capital |
| Minimum people | 2 partners, 2 designated partners | 2 directors, 2 shareholders | 1 director, 1 member, plus a nominee |
| Yearly MCA filings | Form 11 and Form 8 | AOC-4 and MGT-7 | AOC-4 and MGT-7A |
| Late fee on yearly filings | A multiple of the normal filing fee, rising with delay; lower for a small LLP | ₹100 per day per form, no upper limit | ₹100 per day per form, no upper limit |
| Raising equity from investors | Not usual; investors prefer companies | The standard route | Convert to Private Limited first |
An OPC and a Private Limited pay the same MCA fee, and both follow your state's stamp table. The OPC saves on the second director's digital signature and on compliance, but it is a dead end for investors: you must convert to a Private Limited before co-founders or investors can come in. An LLP pays a small MCA fee (₹500 or more) but has no minimum capital.
Is an OPC the right structure?
A single-founder company with limited liability — one director, one member, lighter compliance than a Private Limited.
An OPC suits a solo founder who wants limited liability and a corporate identity without a co-founder or partner. You can convert to a Private Limited later when you take on co-founders or investment.
