What is LLP Registration?

Register a Limited Liability Partnership under the LLP Act 2008. Combines the flexibility of a partnership with limited liability protection and no mandatory statutory audit below ₹40 lakh turnover.

LLPs are governed by the Limited Liability Partnership Act 2008 and are popular among CA firms, law firms, consulting practices, and tech startups that do not need equity investors. Unlike a Pvt Ltd, an LLP has no requirement for board meetings, a company secretary, or statutory audit below ₹40 lakh turnover — making ongoing compliance significantly cheaper.

Who Needs LLP Registration?

Professional services firms (consultants, architects, lawyers, CAs), bootstrapped tech startups, and import-export businesses that want the protection of a corporate shell without the compliance cost of a Pvt Ltd. Also suitable for joint ventures between companies.

Frequently Asked Questions

What is the minimum number of partners for an LLP?

A minimum of 2 designated partners is required at all times. There is no maximum limit on the total number of partners.

Can a company be a partner in an LLP?

Yes. A body corporate (Pvt Ltd, OPC, public company, foreign company) can be a partner in an LLP. It must appoint an individual as its nominee to act as a designated partner.

Is statutory audit mandatory for all LLPs?

Audit is mandatory only if turnover exceeds ₹40 lakh or contribution exceeds ₹25 lakh. Below these thresholds, only the partner's self-certified accounts need to be filed.

Can an LLP raise equity funding?

No. An LLP cannot issue equity shares. It can take loans from partners and third parties but cannot bring in equity investors in the traditional sense. Startups that plan to raise VC or angel funding should register a Pvt Ltd instead.

Can a partnership firm be converted to an LLP?

Yes — via Form 17 filed with the MCA. The conversion preserves the firm's PAN, bank accounts, and existing contracts.

What is the government fee for LLP registration?

Government fees depend on the total designated partner contribution: ₹500 for up to ₹1 lakh, scaling up to ₹5,000 for above ₹10 lakh contribution. Professional charges are separate.

What documents are required for LLP registration?

PAN and Aadhaar cards of all designated partners, their address proof, registered office address proof (NOC plus agreement), and passport-size photographs.

How long does LLP registration take?

Typically 10-14 working days from document submission to certificate of incorporation.
