What is the minimum number of partners for an LLP?

A minimum of 2 designated partners is required at all times. There is no maximum limit on the total number of partners.

Can a company be a partner in an LLP?

Yes. A body corporate (Pvt Ltd, OPC, public company, foreign company) can be a partner in an LLP. It must appoint an individual as its nominee to act as a designated partner.

Is statutory audit mandatory for all LLPs?

Audit is mandatory only if turnover exceeds ₹40 lakh or contribution exceeds ₹25 lakh. Below these thresholds, only the partner's self-certified accounts need to be filed.

Can an LLP raise equity funding?

No. An LLP cannot issue equity shares. It can take loans from partners and third parties but cannot bring in equity investors in the traditional sense. Startups that plan to raise VC or angel funding should register a Pvt Ltd instead.

Can a partnership firm be converted to an LLP?

Yes — via Form 17 filed with the MCA. The conversion preserves the firm's PAN, bank accounts, and existing contracts.

What is the government fee for LLP registration?

Government fees depend on the total designated partner contribution: ₹500 for up to ₹1 lakh, scaling up to ₹5,000 for above ₹10 lakh contribution. Professional charges are separate.

What documents are required for LLP registration?
