Formally amend your LLP Agreement to reflect changes in structure, capital, or partner rights
The LLP Agreement is the governing document of every Limited Liability Partnership in India, and it must be kept current whenever the fundamental terms of the LLP change. Whether the partners are altering the profit-sharing ratio, changing the contribution amounts, modifying the management structure, or adding or removing clauses, a formal amendment with MCA filing is mandatory. Our team prepares the supplementary agreement, computes stamp duty, and handles end-to-end MCA filing to keep your LLP compliant.
The Limited Liability Partnership Act, 2008, and the LLP Rules, 2009, together establish the LLP Agreement as the primary constitutional document of every LLP registered in India. Unlike a private limited company where the Articles of Association are a standardised document with limited scope for variation, the LLP Agreement is a bespoke contract that defines almost every operational parameter of the LLP: the identity and contribution of each partner, the duties and powers of Designated Partners, profit and loss sharing ratios, decision-making procedures, admission and retirement of partners, and dispute resolution mechanisms. Because this document carries such foundational weight, the law requires that any amendment to it be formalised, stamped, and filed with the Registrar of Companies within thirty days of the amendment taking effect. The occasions for amending the LLP Agreement are varied and frequently arise in the normal course of business. A change in the profit-sharing ratio between partners is one of the most common triggers, particularly when a new partner is admitted with a different economic stake or when existing partners renegotiate their respective shares after a period of trading. Changes to the capital contribution of any partner, whether an increase to fund expansion or a reduction upon partial withdrawal, also require an amendment. Other triggers include a change in the LLP's principal business activity, the inclusion of additional business purposes, modifications to the voting rights or decision thresholds for major decisions, changes to the dispute resolution clause such as moving from litigation to arbitration, and the introduction of indemnity or non-compete clauses. The amendment process is governed by the existing terms of the LLP Agreement itself, which typically specify whether a unanimous or majority vote of partners is required to approve the change. Once the internal approval threshold is met, the amendment is documented in a supplementary deed or a restated LLP Agreement. This document must be executed on non-judicial stamp paper of the value prescribed by the Stamp Act of the state where the LLP is registered. The stamp duty is calculated on the basis of the capital contribution as reflected in the amended agreement, and the computation varies significantly from state to state. Understamping is a common error and renders the document inadmissible as evidence and legally unenforceable until the deficiency is rectified through adjudication. After execution and notarisation, the amended agreement is filed with the Registrar using Form LLP-3 through the MCA21 portal. The filing must be completed within thirty days of the amendment date; otherwise, late additional fees are imposed. The MCA21 portal requires that the form be digitally signed by a Designated Partner using a Class 3 Digital Signature Certificate. The Registrar reviews the filing and, upon satisfaction, updates the master data record of the LLP accordingly. A critical but often overlooked step is the reconciliation of the amended agreement with all related documents. If a bank account has specific clauses tied to contribution amounts or signatory rights, the bank mandate may need to be updated. If the LLP holds licences or registrations that reference the scope of business, those registrations may need to be updated to reflect a changed business object. Engaging professional assistance for an LLP Agreement amendment ensures that the internal approval process is correctly documented, the stamp duty is accurately computed for the correct state, the drafting of the supplementary deed is legally precise and complete, and the MCA21 filing is submitted within the statutory deadline. Errors in this process can create governance disputes, regulatory notices, and complications at due diligence when the LLP later seeks investment or seeks to convert to a private limited company.
LLPs undergoing changes in partner composition, profit-sharing ratios, capital contributions, business scope, or governance structure. Also relevant to LLPs that have been operating on an outdated agreement and need to formalise changes that have already occurred informally among partners.
⚠️ Penalty for Non-Compliance
Filing of Form LLP-3 beyond the 30-day statutory deadline attracts additional late fees of Rs. 100 per day of delay under the MCA fee schedule. Operating with an unamended agreement that does not reflect the actual terms agreed among partners can give rise to governance disputes and render certain partner resolutions legally contestable.
Review Existing Agreement and Identify Changes
Obtain and review the current LLP Agreement in full. Identify all clauses that require amendment and confirm the internal approval threshold (unanimous or majority) specified in the agreement.
Obtain Partner Approval
Convene a meeting of all partners and pass a resolution approving the amendment. Document the resolution in writing, signed by all approving partners.
Draft the Supplementary Deed or Restated Agreement
Prepare the amendment document, either as a supplementary deed that records only the changed clauses or as a fully restated agreement. Ensure precision in drafting to avoid ambiguity.
Compute Stamp Duty and Execute on Stamp Paper
Calculate the applicable stamp duty based on the state of registration and the revised capital contribution figures. Print the agreement on correctly valued non-judicial stamp paper, obtain signatures of all partners, and notarise the document.
File Form LLP-3 on MCA21
Upload the notarised amended agreement and all supporting documents on the MCA21 portal using Form LLP-3 within 30 days of the amendment date. Pay the applicable government filing fee.
Update Ancillary Records
Update the LLP's internal minute book and partner register. Notify the bank and any licensing authorities if the amendment affects signatory rights or business scope.

An amendment is mandatory whenever a material term of the LLP Agreement changes, including changes in profit-sharing ratios, partner contributions, the admission or resignation of a partner, changes to management rights or voting thresholds, and changes to the scope of business. Under the LLP Rules, 2009, any change in the LLP Agreement must be filed with the Registrar on Form LLP-3 within 30 days of the change taking effect. Operating on unamended terms without filing exposes the LLP to late fees and creates evidentiary gaps.
A supplementary deed is a shorter document that records only the specific clauses being amended, while a restated agreement is a comprehensive restatement of the entire original agreement incorporating all amendments to date. Either is legally acceptable for MCA filing purposes. A restated agreement is generally preferred when multiple amendments have accumulated over time, as it provides a single clean document for future reference and due diligence purposes. We recommend a restated agreement when three or more amendments are being consolidated.
Stamp duty on an LLP Agreement amendment is calculated under the Stamp Act applicable in the state where the LLP is registered. Most states levy stamp duty as a percentage of the total capital contribution shown in the agreement, and the applicable rate varies considerably: for example, Delhi levies Rs. 200 for every Rs. 50,000 of contribution, while Maharashtra has a different schedule. Our team computes the state-specific duty as part of the service to ensure the document is correctly stamped and legally enforceable.
Form LLP-3 is the prescribed form for filing the LLP Agreement and any amendments thereto with the Registrar of Companies under the LLP Rules, 2009. The form requires the Digital Signature Certificate of a Designated Partner and must be accompanied by the notarised amended agreement. The form is submitted electronically through the MCA21 portal. The filing must be made within 30 days of the amendment date; delays attract additional fees of Rs. 100 per day.
The amendment process is governed by the terms of the existing LLP Agreement itself. Most LLP Agreements specify whether a unanimous or majority vote of partners is required to amend the agreement, and different thresholds may apply to different types of clauses. If the agreement is silent, general partnership law principles suggest that material changes require unanimous consent. It is critical to follow the internally mandated approval process before executing the amendment, as a procedurally defective amendment may be challenged by dissenting partners.
If the partners have informally agreed to revised terms but have not executed a formal amendment and filed it with the MCA, the MCA21 records will reflect the old terms. This discrepancy creates risk in several scenarios: a partner relying on the filed agreement may dispute the informal changes in a legal proceeding; investors or acquirers conducting due diligence will flag the inconsistency; and auditors may raise qualifications. The solution is to execute a retroactively-dated supplementary deed recording the date on which the change actually took effect, with appropriate legal advice on the stamp duty implications.
A change in the scope of business stated in the LLP Agreement may require an amendment to the GST registration under the CGST Act, 2017, specifically to the business description and HSN/SAC codes. Similarly, trade licences, MSME registrations, and sector-specific licences may need to be updated to reflect the revised business scope. A change in Designated Partners, which often accompanies an agreement amendment, will require the GST registration to be updated to reflect the new authorised signatory. Our checklist covers all ancillary registrations that may need corresponding updates.
Once Form LLP-3 is submitted with all required attachments and the digital signature of a Designated Partner, the MCA21 system typically processes and approves the filing within two to five working days if the documents are complete and correctly formatted. If the Registrar raises a query or rejects the filing due to a deficiency in the attached documents, the filing must be resubmitted with corrections, which adds additional time. Our team pre-checks all documents before submission to minimise the likelihood of rejection.
A change in the registered office address of an LLP is a separate compliance event from an LLP Agreement amendment. It requires filing Form LLP-15 (change of registered office within the same state) or Form LLP-5 (change to a different state) and is distinct from Form LLP-3. While the LLP Agreement may contain a clause recording the registered office, the address change itself is not processed through Form LLP-3. Both filings can be prepared and filed concurrently if both changes are occurring simultaneously.
